Kathryn is a Partner in the firm and is an accomplished business lawyer. Her client base is comprised for the most part of closely held, owner-operated companies in many sectors ranging from family owned businesses to substantial multi-jurisdictional operations.
There are some notable exceptions to this, which are Canadian subsidiaries of large US multinational corporations, and a number of publicly traded companies. Kathryn appreciates the realities of entrepreneurial business and the role of a lawyer to these operations in adding value through business management based legal advice.
She was seconded at a large in-house legal department of a publicly traded corporation, which afforded her the opportunity to gain a corporate perspective of many day-to-day and complex legal issues including dealing with outside law firms. In addition to providing general counsel and advice on ongoing legal issues that impact their business, Kathryn advises and guides business owners in growth initiatives and is able to connect them, where appropriate, with other expert resources. In times of business turmoil she is able to assist them with their refocus and restructuring. Her services include organizing companies and share structures, the purchase and sale and financing of businesses and major assets, organizing shareholder and franchise agreements, structuring deals, partnership agreements, preparing and reviewing commercial leases, partner and shareholder dispute resolution and joint venture agreements.
